What is Insider Trading?

Insider trading refers to the buying and selling of a company's stock by individuals who have access to material non-public information. While illegal insider trading involves trading based on undisclosed information, legal insider trading happens every day when corporate officers, directors, and large shareholders trade their company's stock and report these transactions to the SEC.

Under US law, insiders must file a Form 4 with the Securities and Exchange Commission within two business days of any transaction. WhaleSentiment processes these filings automatically to bring you real-time data on what the smartest money in the market is doing.

Why Track Insider Trades?

Academic research consistently shows that insider purchases outperform the market by 6-10% annually. When a CEO puts their own money into their company's stock, it's often a strong signal of confidence. Sales are more nuanced — insiders sell for many reasons (taxes, diversification, home purchases) — but cluster selling can indicate concerns.

Key signals to watch: open market purchases (strongest), sales exceeding normal patterns, multiple insiders trading in the same direction, and trades outside of pre-planned 10b5-1 programs.
